SoftBank to buy DigitalBridge in $4bn deal

SoftBank Group Corp. has agreed to acquire DigitalBridge Group, Inc., a global digital infrastructure-focused alternative asset manager, in a transaction valuing the company at approximately $4.0bn on an enterprise value basis.

Under the terms of the definitive agreement, SoftBank will indirectly acquire all outstanding shares of DigitalBridge for $16.00 per share in cash. The offer represents a 15% premium to DigitalBridge’s closing share price on 26 December 2025 and a 50% premium to its unaffected 52-week average closing price as of 4 December 2025.

DigitalBridge specialises in investments across digital infrastructure assets, including data centres, cell towers, fibre networks and edge infrastructure. The acquisition marks a further step in SoftBank’s strategy to strengthen its infrastructure capabilities as global demand for artificial intelligence-related compute, connectivity and power continues to accelerate.

SoftBank has positioned the transaction as strategically aligned with its long-term ambition to support large-scale AI development and deployment. The group has increasingly focused on the physical and financial infrastructure required to support next-generation AI services, particularly data centre capacity and network connectivity.

Following completion, DigitalBridge will continue to operate as a separately managed platform, led by its Chief Executive Officer Marc Ganzi. The firm’s global footprint and sector expertise are expected to complement SoftBank’s investment activities by enhancing its ability to originate, finance and scale digital infrastructure projects worldwide.

The transaction was unanimously approved by DigitalBridge’s board of directors after a recommendation from a special committee composed solely of independent directors. It remains subject to customary closing conditions, including regulatory approvals.

SoftBank and DigitalBridge expect the transaction to close in the second half of 2026.
